Terms of Service

Introduction

These Terms of Service govern your use of jwebly.co.uk and any services provided by Jwebly ("we", "us", "our"). By accessing this website or engaging our services, you agree to be bound by these terms. Jwebly operates as an operational intelligence agency providing custom AI automation systems, workflow automation, and managed AI agent services to businesses in the United Kingdom and internationally.

Services

We offer two primary services: The Pilot — a fixed-price engagement (£600) to automate 1–2 of your highest-impact workflows, delivered within 1–2 weeks, with a £120/month retainer bundled in from day one. The Full System — a custom-scoped operational intelligence platform including multi-agent architecture, custom AI agents, dashboard development, and full tool stack integration. Pricing and timeline are agreed upon after a discovery call. All services include ongoing support, monitoring, and optimisation via the £120/month retainer.

Payment terms

The Pilot requires full payment of £600 prior to commencement of work. The £120/month retainer begins on the first day of the engagement and is billed monthly. The Full System is billed according to the payment schedule agreed in your service proposal. A deposit is typically required before build commences. All prices are in GBP and exclusive of VAT where applicable. Invoices are due within 14 days of issue unless otherwise agreed. Late payment may result in suspension of services and shall accrue interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

Retainer and cancellation

The £120/month retainer covers platform access, hosting, monitoring, and support for your deployed workflows and agents. It continues until cancelled. You may cancel the retainer by providing 30 days' written notice to hello@jwebly.co.uk. During the notice period, the retainer remains active and all services continue. Cancellation of the retainer will result in the suspension of hosted workflow infrastructure. You retain ownership of all automation logic, integration configurations, and workflow documentation created during the engagement.

Intellectual property

Jwebly retains ownership of its proprietary methodologies, frameworks, and tools used to build your system. You own the specific workflow logic, automation configurations, and custom AI agent designs created for your business. All content on jwebly.co.uk — including text, design, graphics, and code — is the intellectual property of Jwebly and may not be reproduced without prior written consent.

Client responsibilities

You agree to: Provide accurate business information, workflow descriptions, and system access required to deliver the service. Appoint a contact person for project communication and approvals. Review and sign off on system designs before build commences. Ensure any third-party tools or integrations you require us to connect to are legitimately licensed and accessible. Not use Jwebly-built systems to process data unlawfully or in breach of UK GDPR.

AI systems and limitations

AI agent systems involve probabilistic outputs and may not achieve 100% accuracy in all scenarios. We design systems with appropriate fallbacks, human escalation triggers, and monitoring. You acknowledge that: AI systems require monitoring and periodic adjustment — covered by the retainer. Outputs from AI systems should be reviewed for high-stakes decisions. Jwebly is not liable for decisions made autonomously by AI systems that have not been properly supervised by your team.

Limitation of liability

To the fullest extent permitted by English law, Jwebly's total liability for any claim arising from these terms or the services provided shall not exceed the total fees paid by you in the preceding 12 months. We are not liable for indirect, consequential, or loss of profit claims arising from service use, system downtime, or AI output errors. Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited by law.

Confidentiality

Both parties agree to keep confidential any proprietary information, business data, and technical details shared during the engagement. This obligation continues for 2 years after the end of the engagement. We will not disclose your business processes, workflow designs, or client data to third parties without your written consent, except as required to deliver the service (e.g. via sub-processors disclosed in our Privacy Policy).

Governing law and disputes

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales. We will always try to resolve disputes informally first. Please contact hello@jwebly.co.uk with any concerns before initiating formal proceedings.

Changes to these terms

We may update these Terms of Service from time to time. We will notify active clients of material changes. Continued use of our services after notification constitutes acceptance of the updated terms. Last updated: February 2026.
